How to incorporate a limited company in the UK?
Anyone who is over the age of 16 and is a citizen of any country (except for embargoed countries) can incorporate a company in the UK and run it remotely, even if they do not reside within the UK. Once AML checks are carried out, you can set up your Limited company within 24 hours and start trading right away.
Is paperwork required for company formation?
No additional documents are required for the incorporation of a company, except for a valid passport or identity card and a document that can verify your residence address. Your application is taken into consideration in line with the information you provide on the application form, showing your personal details and company structure.
Who is in authority to incorporate a company?
After completing your application through England Limited, your company details are sent off to Companies House, which is the official institution incorporating companies in the UK. Your application is processed within 24 hours.
How can I obtain incorporation documents?
Once your company is successfully incorporated by Companies House, your company documents are delivered to us. A digital copy of your documents is uploaded to the My Companies section of your account.
How will I pay the incorporation fee?
You do not need to make any payments at the application stage. After your application reaches us, your details are checked and then approved. An e-mail will be sent to you confirming your membership, and you can find the incorporation invoice in the Invoices section by logging in your account. The fee can be paid by a Credit or Debit Card.

Running Your Company


How can I run my company?
You can make structural changes for your company quickly and simply through your account on England Limited. You will be charged per arrangement you make, such as appointing or terminating a company shareholder/manager/secretary, changing or adding a company's field of activity, raising capital, changing the company title. Do I have to work with a financial advisor for my company?
You don't have to work with a financial advisor for your company. The director you have appointed may be responsible for the keeping accounting records as well. However, you can work with a financial advisor when you need a professional service. You can keep your own accounting records with the Accounting Software that we offer once your company is incorporated.
What is Accounting Software?
After your company is ready to trade, we provide an accounting software for you free of charge if you do not want to work with a financial advisor. With this web-based software, you can create customer and supplier accounts, issue invoices and send them to your customers, and record your expenses. With the detailed reporting system, you can quickly access important data such as your balance sheet, profit and loss statement, and tax summary.
Will I return Value Added Tax for my company?
One of the biggest benefits of your company registered in the United Kingdom is the VAT exemption. If your annual turnover is below £85k, you do not need have any VAT liabilities, and you do not reflect this tax of 20% to your customers on your invoices. However, this exemption is completely voluntary. Should you wish, you can apply HMRC for a VAT number.
Will I pay Corporate Tax for my company?
You are required to pay 20% of your net profit as Corporate Tax at the end of each financial year. You can deduct every cost you will make on behalf of your company as an expense and keep your corporate tax at the minimum level as possible.
Will my company be subject to audits?
According to Anti-Money Laundering guidelines, your company may be audited by the UK government at any time. However, if your annual turnover is below £632k, your company will be considered a "micro entity". In this way, you can keep your accounting records in a simpler way than non-micro companies.

ID Check and Address Verification


How will it be known that I really incorporated the company?
Upon completing the application form, your details including your personal information and company structure will bent sent off to Companies House. However, you need to complete ID checks with the help of a mobile app before your application is processed directly. This authentication includes several security procedures, such as identifying your passport or ID card, taking a selfie that shows your face clearly. If there is more than one shareholder, or if your company director is not you or one of your shareholders, all persons shown in the company structure must be equally authenticated. Once you complete these security checks, your company will be then incorporated.
Through which application will I verify my identity?
You will verify your identity through the authentication application called Credas. To download this app to your phone via Google Play, please click here or clieck here to download via App Store.
The app requires a registration code. What should I do?
For each verification process, a disposable registration code is created for you to use on Credas. Your registration code will be shared with you once your company incorporation begins.
What actions do I need to take to verify my identity?
After the registration code is provided, you will need to take a selfie that shows your face clearly. After taking this selfie, you need to take photos of your passport or ID card and upload them to the system. When these processes are completed, the verification will be done.
Which identity document should I choose?
It is sufficient to use your passport or national identity card. However, we recommend using a valid passport for faster approval.
What are the documents required for address verification?
To verify your residential address, you need to provide one of the following documents: Bank statement, Gas, Water, Electricity Bill, Mortgage statement, Landline Telephone Bill or TV licence. The document should be addressed directly to the individual, not to a business. It should clearly state the your full home residential address. It should also be clearly dated within the last 3 months. Most importantly, it should be written in a language using the Latin alphabet, or accompanied by a sworn English translation.

What is the Registered Address?
Although you do not have to live in the UK to set up a company, your company's address must be in the UK. Your registered address required for company formation is provided by England Limited and included in the incorporation packages free of charge for the first year. The renewal fee for this service is £49 + VAT per year.
What is the address where my company will be registered?
Your company will be registered at our office address in Covent Garden, one of London's most prestigious locations. The full address of your registered address is:

What is Service Address?
According to UK law, the personal and residential information of company directors must be available to public. As England Limited, we show the address where your company is registered for your director as the service address, and we accept the statutory mails for your director. The renewal fee of this service, which is free for the first year, is £30 + VAT per year.
What is Statutory Mail Scanning?
We receive the statutory mails sent to your company from official institutions such as Companies House or HMRC and deliver scanned copies to you digitally on the same day we receive. To benefit from this service, you must have valid Registered Address and Service Address subscriptions. Otherwise, you cannot benefit from the statutory mail scanning service.
How can I receive non-statutory mails?
The Statutory Mail Scanning service includes official mails sent on behalf of your company or your director. For non-statutory mails, you need to get the Business Mail Forwarding service, which is is £100 + VAT per year.
What is an Apostilled Document?
In spite of the fact that you can open a bank and virtual pos account over the internet with your company registered in the UK, the country you are in may request notarized documents related to your company. In such a case, you can get an online Apostille service for your company documents and use your documents legally in 92 countries.

Bank Accounts and Payment Providers


Can I open a bank account for my company?
Certainly! Since a company incorporated in the UK does not have to work with local banks in the UK, you can open a bank account for your company whether in all countries of the world. You may need notarized your incorporation documents for this. However, we help you to open your Wise Business account, where you can receive and send payments in all currencies after you have incorporated your company.
What is Wise Business account?
Wise, the world's most preferred digital banking service, allows you to receive and send payments in all currencies for your company. Moreover, it provides a local bank account and IBAN number in 10 different currencies by allowing you to receive payments quickly and inexpensively without SWIFT transactions.
Is Wise Business account free of charge?
To open your Wise Business account, you only need to make a one-time payment of 45 GBP. You can make this payment with your credit or debit card. Upon making your payment, you must complete the security procedure by uploading the passport / ID card photo of your company director to the system. Although your account is generally opened on the same day, it may take up to 3 business days to approve your account. Apart from the setup fee, you will not be charged for the payments you receive in the same currencies in your Wise account. However, Wise may charge a transaction fee when sending money to accounts other than Wise.
Can I get a debit card for my Wise Business account?
Certainly! Your debit card will be sent to your address once you order on Wise. Expected delivery time is an average of 14 days. You can receive your debit card without paying any fee. If your card type is Visa, you can also use the contactless feature.
In which countries can I use my Wise Business debit card?
You can use it anywhere in the world. However, you are entitled to two free withdrawals each month, up to a total of 200 GBP (or other currency equivalent). If you want to withdraw a larger amount per month, Wise will charge a commission of 1.75% per transaction. However, there is no commission for contactless or online payments.
Can I receive online payments from my customers?
We open and deliver your Stripe account, which is the most preferred virtual pos supplier in the world, where you can receive online payments from your customers via credit or debit cards, free of charge. With Stripe, you can get paid in all currencies.
Is Stripe account free of charge?
Your Stripe account is completely free. However, Stripe charges a commission per transaction for the payments you receive. This commission rate is 2.9% + 2.5%. For instance, you received a payment of 100 GBP from your customer. 5.4 GBP of this payment will be deducted by Stripe and 94.6 GBP will be sent to your bank account.
When does Stripe make payouts?
Every payment in your Stripe account is held by Stripe for 7 days. At the end of the 7th day, it is deposited into your bank account that you linked to Stripe. This process takes place automatically.
Will my Stripe account go through an approval?
Although Stripe automatically retrieves your company information from Companies House and sets up the account in minutes, Stripe may ask for your director's passport or ID card photo to manually verify your company in some cases. After you upload required documents to the relevant fields in your Stripe account, your payments will be sent to your bank account.
How can I integrate Stripe?
